These Platform Terms of Use ("Terms") govern your access to and use of any mobile application, web application, or digital community platform powered by Gather Well LLC ("Gather," "we," "us," or "our"), including any related messaging, content, support, or platform services (collectively, the "Platform"). These Terms of Use, together with our Privacy Policy, which can be found at https://joingather.org/privacy, govern your access and use of our website and app, located but not limited to https://www.joingather.org and its subdomains.
Gather provides software infrastructure that enables independent organizations ("Community Operators") to create and manage their own branded digital community spaces ("Community Apps").
By accessing or using a Community App, you agree to these Terms. If you do not agree, do not access or use the Platform.
1. Relationship Between Gather, Community Operators, and Users
Gather provides technology infrastructure, hosting, and related technical services for Community Operators.
Each Community App is independently operated and administered by the applicable Community Operator, not by Gather.
Community Operators are solely responsible for determining membership eligibility, administering and moderating their communities, publishing and managing content, establishing community rules and policies, communicating with users, and providing any programs or services made available through their Community App.
Gather is not responsible for the actions or omissions of Community Operators, user conduct, community content, or admission decisions.
2. Eligibility and Access
You must be at least thirteen (13) years old to use the Platform.
Community Apps are private, invitation-based environments. Access may be restricted, suspended, or revoked at any time by either the applicable Community Operator or Gather.
You are responsible for maintaining the confidentiality and security of your login credentials and device access.
3. Platform Role and Availability
Gather provides hosted software infrastructure and related technical services.
Gather does not guarantee uninterrupted access, availability of any feature, compatibility with all devices, retention of content, or continued operation of any Community App.
4. Acceptable Use
You agree not to use the Platform to:
• violate applicable law;
• harass, threaten, or abuse others;
• distribute malware or malicious code;
• send spam or unauthorized communications;
• infringe intellectual property or privacy rights;
• interfere with platform security or operations; or
• engage in fraudulent or deceptive conduct.
5. Messaging and Communications
5.1 In-App Messaging
Some Community Apps include messaging or communication features.
Gather may review, preserve, or disclose information where reasonably necessary to enforce these Terms, comply with legal obligations, respond to safety concerns, investigate misuse, or protect users, Community Operators, or the Platform.
5.2 Text Message (SMS) Program
Program description. Gather, and Community Operators using the Platform, may send text (SMS) messages to the mobile telephone number you provide. Depending on the functionality enabled by the applicable Community Operator, these messages may include one-time passcodes and login or account verification codes; app download links and invitations to join a Community App; transactional and account notifications such as event reminders, service updates, or responses to support requests; and community announcements sent by or at the direction of a Community Operator.
Consent. By providing your mobile telephone number to Gather or to a Community App — including when you enter your number to sign in, when you accept an invitation to join a Community App, or when you otherwise expressly opt in — you agree to receive text messages as described above at that number, including messages delivered using an automatic telephone dialing system. Consent to receive text messages is not a condition of any purchase or of membership in a Community App. Consent is specific to the Community App for which it was provided and is not transferred to other Community Operators.
Eligibility. You must be at least thirteen (13) years old and must be the subscriber of the mobile telephone number you provide, or be authorized by the subscriber to enroll that number. You agree to notify Gather promptly if you relinquish or change your mobile telephone number.
Message frequency. Message frequency varies depending on your account activity, the Community Apps you belong to, and the notification settings you have enabled.
Message and data rates. Message and data rates may apply. Contact your wireless provider for details about your plan.
Opting out. You may opt out at any time by replying STOP to any text message you receive. You will receive a single confirmation message and will not receive further text messages unless you opt in again. Opting out may prevent you from receiving one-time passcodes required to sign in and may limit access to certain Platform functionality. You may also contact us at legal@joingather.org to be removed.
Help. Reply HELP to any text message for assistance, or contact us at legal@joingather.org.
Carriers. Delivery of text messages is subject to transmission limitations and mobile carrier conditions. Mobile carriers, including T-Mobile, are not liable for delayed or undelivered messages. Supported carriers may change without notice.
Privacy. Mobile information collected in connection with this program is handled as described in our Privacy Policy at https://joingather.org/privacy. No mobile information, including mobile telephone numbers and SMS consent or opt-in data, will be shared with third parties or affiliates for marketing or promotional purposes.
5.3 Community Operator Responsibilities
A Community Operator that provides member mobile telephone numbers to the Platform, or that directs text messages to be sent to its members, represents and warrants that it has obtained and maintains all consents required under applicable law, including the Telephone Consumer Protection Act, and under applicable mobile carrier and industry requirements, before those messages are sent. Gather transmits such messages as a service provider on behalf of the Community Operator, and the Community Operator is responsible for the content and lawfulness of the messages it sends or directs.
6. User Content
You retain ownership of content you submit through a Community App ("User Content").
By submitting User Content, you grant Gather a limited, non-exclusive license to host, process, store, transmit, and display such content solely as necessary to operate, maintain, secure, and provide the Platform.
7. Privacy
Gather may process personal information in connection with operation of the Platform, as described in the Privacy Policy.
Depending on the structure of a Community App, the applicable Community Operator may act as the primary controller or business responsible for user data, while Gather may act as a processor, service provider, or infrastructure provider acting on behalf of the Community Operator.
8. Third-Party Services
Gather may engage third-party vendors, hosting providers, communications providers, analytics providers, cloud infrastructure providers, authentication providers, payment processors, and other subprocessors to support operation of the Platform.
Gather is not responsible for third-party services, outages, or third-party terms and policies.
9. Intellectual Property
Gather and its licensors retain all rights, title, and interest in and to the Platform and all related intellectual property rights.
Except for the limited rights expressly granted in these Terms, no rights are granted to you.
10. No Emergency Services
The Platform is not intended for emergency communications or crisis response services.
If you are experiencing an emergency, contact 911 or the appropriate emergency services provider immediately.
11. Disclaimers
THE PLATFORM AND ALL COMMUNITY APPS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATHER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OPERATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR LIABILITY THAT CANNOT LEGALLY BE EXCLUDED, GATHER WELL LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES RELATING TO LOST PROFITS, LOST REVENUES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION.
GATHER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED:
(a) one hundred U.S. dollars (US $100); or
(b) if you have paid fees directly to Gather for use of the Platform, the total amount paid by you to Gather during the twelve (12) months preceding the event giving rise to the claim,
whichever is greater.
13. Indemnification
You agree to indemnify and hold harmless Gather Well LLC and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, damages, liabilities, losses, and expenses arising from:
• your violation of these Terms;
• your unlawful use of the Platform; or
• your infringement of any third-party rights.
14. Suspension and Termination
Gather or the applicable Community Operator may suspend or terminate your access to the Platform at any time for violations of these Terms, safety concerns, legal compliance, misuse, or operational reasons.
15. Dispute Resolution
Disputes relating to these Terms or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA"), except where prohibited by law.
You waive any right to participate in class actions or class-wide arbitration.
16. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
17. Changes to These Terms
Gather may update these Terms from time to time.
Updated Terms will become effective upon posting or other reasonable notice. Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.
